Any capital gain—from the sale of realty, business, assets—when invested correctly into a Qualified Opportunity Zone (“QOZ”), may provide your client a FIVE-YEAR DEFERRAL on paying their capital gains taxes AND potentially provide (for investors in Virginia) a 100% NO TAX ON GAINS achieved on the investment made in a QOZ within 180 days of their original capital gains event.
QOZ allows investors to blend their capital gains tax-generating asset across realty, business, and “hard” assets.
Investors, selling their original asset after January 1, 2027, have an option (for the next several years) to invest their capital gains into QOZ from the original program or in the new 2.0 designated census tracts.

Cancellation Policy: Cancellation/transfer requests will be honored until 5:00 p.m. the day preceding the seminar. You will, however, be charged $40 if you cancel or transfer your registration to a different seminar after the link to the materials has been e-mailed by Virginia CLE®.
Full refunds or transfers are available up to two days after a webcast in the unlikely event that you experience technical difficulties.

Rick Chess is the Immediate Past Chair of the Real Property Section of the Virginia State Bar. He is a graduate of T.C. Williams School of Law at the University of Richmond. He has served as the Audit Committee Chair of FPO, a member of the Pennsylvania General Assembly, and President of ADISA. His practice focuses on helping clients grow their businesses and real estate portfolios, and guiding investors on how to reduce tax exposure on sale of realty, business, and appreciated assets.

Louis J. Rogers is the founder and co-chief executive officer of Capital Square. He oversees the firm’s Delaware statutory trust (DST) programs for investors seeking qualifying replacement property for Section 1031 tax-deferred exchanges. He is a nationally recognized authority in structuring securities offerings for real estate investments and serves as a consultant and expert witness on Regulation D private placements, non-traded REITs, Section 1031 exchanges, DST and TIC programs, real estate funds, and issues related to broker-dealers and registered investment advisors. Mr. Rogers also serves as chairman and chief executive officer of Capital Square Housing Trust, the firm’s real estate investment trust (REIT).
As the former President and Board Member of Triple Net Properties, LLC, Mr. Rogers assisted in the formation of Triple Net in 1998 as outside legal counsel, founding member, and president from 2004–2007. Under his leadership, Triple Net became the nation’s largest tenant in common (TIC) sponsor and syndicated in excess of $5 billion of real estate in over 100 offerings, including TIC offerings, REITs, and real estate funds. Triple Net was reorganized as NNN Realty Advisors and, subsequently, merged with Grubb & Ellis Co. Prior to becoming president of Triple Net in 2004, he was an influential tax, securities, and real estate attorney. He was a partner with the Hirschler Fleischer law firm in Richmond, Virginia (1987–2004), where he founded and led the firm’s Real Estate Securities Practice Group. Mr. Rogers was responsible for billions of dollars of DST, TIC, REIT, and fund offerings as an attorney and executive officer.
