Commercial Breakout Topic 2: Lender Protections in Loan Documents and Workout Agreements This panel will discuss the case law with respect to the enforceability of certain provisions lenders may include in loan documents or workout agreements, including automatic stay waivers, SPE obligation, Golden Shares, appointment of independent directors or CROs, and other provisions seeking to govern aspects of the debtor or its entry into bankruptcy. Economic Forecast and Legislative Update This presentation will provide an overview of current economic indicators and how those indicators may affect bankruptcy and restructuring practice. It will also provide an update on legislation that may impact bankruptcy practice. Merchant Cash Advances This panel will address the growing presence of merchant cash advances in bankruptcy cases, provide an overview of the merchant cash advance process, discuss the legality and enforceability of such advances, review the current legal and regulatory environment impacting these advances, and provide strategies for addressing merchant cash advances throughout the bankruptcy process.
