This panel addresses the increasing use and proper roles of independent directors on the board of a chapter 11 debtor, and independent committees of the board, in preparation for and during the bankruptcy case. The panel also explores the tactic of appointing independent directors to investigate the viability of claims owned by the debtor, recommend settlement of claims and proposed releases, and to otherwise reconcile inter-company matters for which certain board members may be conflicted.
