Business lawyers will appreciate this in-depth, advanced-level conference, which comprehensively addresses current and evolving legal issues and topics of importance to companies operating in a constantly changing business and regulatory environment.

This year you may attend the complete, 2-day conference: (1) in person, live on site at the Hilton Richmond Downtown, where attendees can network, exchange ideas, and enjoy planned events for socializing and relaxation, OR (2) virtually via live-interactive webcast or telephone.

Experienced presenters will discuss best practices and issues relating to company legal and regulatory compliance, policies and related corporate governance, multi-jurisdictional commercial contracts and disputes, shareholder, owner, and employee disputes, and compliance with recently enacted laws and regulations (including recent case law). Attendees will learn practice tips for advising clients on how to both grow and protect their businesses and stakeholders through mitigation of new and evolving legal risks.

Presentations and panel discussions will pay particular attention to a company’s increased exposure to civil and criminal claims arising both from internal owner, board, and management relationships and from external customer, vendor, investor, lender, and government obligations and risks. Topics will include best compliance practices to reduce exposure to civil litigation and criminal investigations and violations as well as updates on key statutory regimes that pose such risks, an update on the Federal Corporate Transparency Act and its implications, contract governing law and dispute resolution provisions, and planning for management and owner deadlocks and the special challenges associated with internal business disputes.

In addition, preeminent ethics attorney Tom Spahn will discuss the ethical challenges business attorneys face when shepherding clients through various company planning and transactional scenarios, providing two hours of Ethics credit for Virginia lawyers.

Cancellation Policy: Cancellation/transfer requests will be honored until 5:00 p.m. the day preceding the seminar. You will, however, be charged $90 if you cancel or transfer your registration to a different seminar after the link to the materials has been e-mailed by Virginia CLE.

Full refunds or transfers are available up to two days after a webcast in the unlikely event that you experience technical difficulties.

MCLE Credit Caveat: The MCLE Board measures credits by the time you spend in attendance. If you enter a seminar late or leave it early, or both, you must reflect those adjustments accurately in the credits you report on your credit reporting form. A code will be given at the end of the seminar, which must be written on your MCLE form.

This interactive program uses hypotheticals to explore ethics issues arising when lawyers deal with witnesses. The topics include: (1) dealing with fact witnesses (including the permissibility of paying fact witnesses for their time, preparing fact witnesses for testimony, and talking with fact witnesses during deposition breaks); (2) dealing with expert witnesses (including paying testifying and non-testifying experts, and ex parte communications with an adversary's expert); and (3) the "witness advocate rule" (including the rule's rationale, the proceedings in which the rule applies, application to lawyers appearing pro se, judging the necessity for a lawyer's testimony, and permissible pre-trial and post-trial activities by disqualified lawyers).
