Many attorneys serve on nonprofit boards without fully understanding the potential complexities of the organization’s governance. The interplay of state law, articles of incorporation, bylaws, and the federal income tax code can present challenges to attorneys who do not practice in this area on a regular basis. The coronavirus has caused organizations to look at new ways of holding board meetings and taking action without meetings, often without regard to what is allowed by the organization’s own governance documents or state law. This introductory course is intended to prepare you to be better able to advise your nonprofit clients, whether you are forming a new nonprofit organization or advising one that has been around for more than a century.

ABOUT THE SPEAKER

Eileen Johnson has over 30 years of experience advising nonprofit organizations and associations on a wide variety of legal issues, including tax advice, charitable solicitation and fundraising, membership programs, and employment issues. Prior to joining the firm, Ms. Johnson was in-house counsel for the National Wildlife Federation. She has held leadership roles in the Association Foundation Group, ASAE, and the Virginia State Bar.

Ms. Johnson is a partner and co-chair of the practice at Whiteford. She received her law degree from the J. Reuben Clark Law School of Brigham Young University in 1982, and is admitted in Virginia, the District of Columbia, Maryland, and California.
