Course Outline

This three-hour program is designed as a practical, hands-on course for attorneys who are beginning to work with entrepreneurs and other individuals who are establishing new business ventures (or perhaps expanding and reorienting an existing business).

Many young entrepreneurs have developed sharp ideas for a new business. They have ideas for production and marketing (the “front” side of the business). This program will focus on how the attorney can guide and assist the new businessman or businesswoman in navigating the “backroom” demands to assure a profitable business.

Topics to be covered include:

  • The initial interview: Refining the entrepreneur’s “business concept”
  • The role of the attorney, including engagement understanding, time expectations, and compensation
  • Who will be involved in the business (i.e., associates, partners, etc.) and the structure of the business
  • Outlining how the business will operate (personnel, equipment, and time lines)
  • Who will be the professional support team (accountant, insurance agent, real estate agent, information technology consultant, benefits consultant etc.), and how their roles are conceived
  • Understanding the entrepreneur’s knowledge and expertise in the areas of:
    • Legal matters and regulatory requirements
    • Financing, accounting, and taxation
    • Human resource issues, including payroll, immigration status, and benefits
    • Insurance (liability, property, business interruption, and disability
    • Information technology (hardware and software purchase, installation, maintenance and security)
  • Ethical issues and due diligence
  • Handling “business success” and “business failure”
  • Educating the entrepreneur’s family about the demands of “entrepreneurship”

ABOUT THE SPEAKER

John L. Norman, Jr., Attorney-at-Law / McLean

John Norman is a sole practitioner in McLean, with a focus on small business, tax, and estate planning. A graduate of The College of William and Mary with accounting and law degrees, he currently teaches accounting, finance, law, and tax courses at Bridgewater College. He has previously taught these courses at The College of William and Mary, George Washington University, University of Maryland University College, and the Keller Graduate School of Management. Mr. Norman has also been a lecturer for the legal section of the CPA review course.
