Virginia has long been and remains a “business friendly” jurisdiction, offering businesses and practitioners a full slate of business entity options. Of course, the multiplication of entities and the endless renovation of statutes necessary to maintain currency have resulted in increased complexity. While more may be better in this area, it certainly does not make the lawyer’s job any easier. Both client and counsel often find themselves groping for the answer to the query as to which is the “right” business form to use. There is no “right” answer that fits all or even most situations, but often there are reasonable alternative choices for a particular undertaking, and the solace in knowing that one form of business entity can be converted to another under Virginia law rather easily (although income tax ramifications may complicate certain conversions significantly despite the lenience of Virginia law).

This seminar will explore all the business entities recognized under Virginia law, addressing the pros and cons of each, including the associated tax consequences.

ABOUT THE SPEAKERS

Richard Howard-Smith, Flora Pettit, PC / Charlottesville

Richard Howard-Smith is a tax attorney with the Charlottesville office of the law firm of Flora Pettit PC, practicing primarily in the areas of estate planning and administration, business organizations and transactions, charitable planned giving, taxation, tax-exempt organizations, and general business work. He graduated from the University of Virginia (B.A. 1981), and the Marshall-Wythe School of Law, College of William and Mary (J.D. 1984; Master of Law and Taxation 1985). He is a member of the Virginia State Bar (Trust and Estates (current Board of Governors)); Taxation Sections); the American Bar Association (Taxation; Real Property, Probate and Trust Law Sections); the Virginia Bar Association; and the Charlottesville-Albemarle Bar Association (current President for the 2019–2020 term). Mr. Howard-Smith is also a Fellow in the American College of Trust and Estate Counsel. He has been a lecturer for numerous Virginia CLE® seminars, and has been listed in Best Lawyers in America (Tax; Wills, Trusts and Estates), Virginia Business magazine’s “Legal Elite,” Virginia Super LawyersWho’s Who Among American Lawyers, and Who’s Who in American Law.
