This presentation addresses the various types of equity and equity-based incentive compensation arrangements available to privately held companies — options, restricted stock, profits interests, phantom stock/RSUs, and qualified equity grants. We explore the various tax attributes and key considerations when implementing an equity incentive program and utilizing specific equity/equity-based structures. We also review both defined benefit and defined contribution nonqualified deferred compensation plans and discuss key plan terms, as well as highlight tax planning opportunities for companies and participants.
