Why Attend?

  • Understand the rules regarding identifying your client, and protecting confidences
  • Explore the special challenges regarding corporate misconduct and whistleblowers
  • Recognize the overlapping responsibilities of in-house and outside counsel

Corporate counsel fill an interesting position both within the legal establishment and within their corporate family. As lawyers, they abide by all the traditional bounds and constraints, particularly as they relate to ethical responsibilities. Yet as corporate employees, additional challenges arise. Who is the client? What to do with subsidiaries, parent, and sister corporations, or with a spun-off corporation? How can client confidences be kept within the business environment? Corporate counsel deal successfully with these and a myriad of other issues every day—but it is always worthwhile to stop, return to basics, and reassess normal practices in light of legal and ethical responsibilities.

This CLE will focus on legal ethics issues specifically for and of interest to in-house and outside counsel for organizational clients. Business and commercial lawyers who function as outside counsel to corporations will also find this program useful when dealing with in-house counsel.

Topics of discussion will include:

  • Conflicts recognition and resolution among affiliated companies
  • Managing conflicts and waivers for outside counsel
  • Maintaining client confidences and communications
  • Client confidences and whistleblower actions
  • Technology and cybersecurity concerns for in-house counsel
  • Preventing and addressing corporate misconduct
