Starting with a description and analysis of the architecture of real estate mezzanine lending, this session will go on to examine the interrelationship of the parties in a mezzanine or B-note structure, including subordination and intercreditor issues, sponsor recourse liability, and negotiation points for both senior and mezz/B-note lenders. We will also touch on CMBS transactions and other multi-stack structures where there are multiple layers of subordinate financing, including mezz and/or B-notes.
